2.General Conditions of Sale

These General Conditions of Sale define the terms of sale between Bianchi & Fontana Srl and its Customers.

For the purposes of these General Conditions of Sale, all those who make a purchase (individuals or companies) are to be considered Customers.

The fact that Customers select the option “I accept the General Conditions of Sale” before confirming an order is automatic acknowledgement that they have read and accepted these General Conditions of Sale.

The latter shall be applied to the exclusion of all other clauses, except in the case of special agreements set forth in writing and signed by both parties.

Purchases effected by e-mail, telephone, fax or post similarly imply acceptance of the General Conditions of Sale, which can be read directly on the Internet site under the heading General Conditions of Sale.

Bianchi & Fontana Srl reserves the right to change these General Conditions of Sale at any time.

Every version of the General Conditions of Sale bears a precise date; Customers should therefore read the General Conditions of Sale before every purchase.

3.Nature of the relationship and cases of non-applicability of consumer protection legislation

Under the provisions of the national and Community laws presently in force, the economic relationship between Supplier and Customer is governed by consumer protection legislation exclusively in the event that the Customer makes a purchase for personal reasons unrelated to his/her working activity.

Therefore, the relations between a Supplier and Customer who makes a purchase for reasons related to his/her working activity and provides a VAT registration number shall not be subject to application of consumer protection legislation, including, in particular, Legislative Decree 185 of 1999, Leg. Decree 50 of 1992-right of withdrawal and art. 1469 bis and subs. of the Italian Civil Code.

Unless specified otherwise in writing, all prices shown are to be considered “VAT excluded” and stated in Euros.

5.Terms of Payment, interest for late payment

Payment must be made via bank transfer to the account indicated in documents valid for tax purposes or invoices, or via issuance of a collection order to be paid by the Customer, who must provide his/her bank account details.

In the event of late payment, interest shall be charged at the current bank rate plus 0.2 percentage points.

In the event of failure to pay or incomplete payment, Bianchi & Fontana Srl shall reserve the right to immediately interrupt, without any formalities, further supplies even if they relate to another contract.

The Customer shall receive an invoice via normal post. Bianchi & Fontana Srl keeps a numbered copy of each invoice.

Bianchi & Fontana Srl exclusively sends packages insured in proportion to value. The total insurance costs are included in the shipping expenses.

Pursuant to art.1469 bis of the Italian Civil Code and art. 3 of Legislative Decree 206/05, Bianchi & Fontana Srl shall provide a warranty on its products, as per the provisions of law; the warranty shall also extend to end users who purchase them from resellers and shall not cover defects and/or nonconformities deriving from installation of the shower enclosure or the bursting of glass.

9.Purchase orders

The Supplier shall not fill orders partially, except where expressly authorized by the Customer.

Each order is identified by a specific code (order number) and contains a specification of the date of entry in the system.

10.Ownership of goods

Bianchi & Fontana Srl shall retain ownership of the goods until full payment has been received from the Customer.

11.Order filling and delivery times. Orders shall be considered finalized only if complete with all the data required for manufacture: measurements, type of glass and drawings.

The delivery times are approximate and will depend on the methods of delivery chosen by the Customer at the time of placing the order; in no case shall they be grounds for payment delays or non-payment or damage claims.

It is expressly agreed that the Court of Bologna shall have exclusive territorial jurisdiction over any dispute arising in relation to these General Conditions of Sale.
